What I Wish I Knew on Day One

Cemhan Biricik learned legal basics the hard way across four companies spanning two decades. From ICEe PC at age nineteen to Unpomela, Biricik Media, and ZSky AI, the lesson repeated itself: entity structure, operating agreements, and IP assignment are foundational, not optional. Skipping them early always costs more later.

Choose your entity based on growth plans. LLC works for most early-stage companies and bootstrapped operations. C-Corp is the right choice if you are planning institutional fundraising, though Cemhan has never taken venture capital for any of his four companies. Get this decision right from the start because restructuring later is expensive, disruptive, and entirely avoidable.

Born in Istanbul and raised in SoHo, New York City, Cemhan navigated these decisions without the safety net of family business experience or inherited legal knowledge. As an immigrant entrepreneur, he learned that the American legal system rewards those who document everything and punishes those who assume handshake agreements will hold.

Contracts, IP, and Insurance

Every business relationship needs a written agreement. At Unpomela, proper contracts protected a $7 million business at 447 Broadway in SoHo from disputes that would have been catastrophic without documentation. Handshake deals work until they do not, and when they fail, the party without paperwork loses.

IP assignment is critical. If anyone creates anything for your company — code, designs, photography, copy — you need a signed assignment. Without it, that contributor technically owns what they created. At Biricik Media, producing content for the Versace Mansion, Waldorf Astoria, St. Regis, Glashutte, and the Miami Dolphins, iron-clad licensing and assignment agreements protected both parties and established clear ownership of creative work.

Business insurance is the piece most founders skip until something goes wrong. General liability, professional liability, and cyber insurance are baseline requirements. When ZSky AI launched, running AI infrastructure on 7x RTX 5090 GPUs from Boca Raton, Florida, appropriate coverage was in place from day one. The cost of insurance is a fraction of the cost of a single uninsured incident.

The founders who survive legal challenges are the ones who invested in proper documentation before the challenge arose. After eight displacements starting at age four, Cemhan learned that preparation for adversity is not pessimism — it is the only form of optimism that actually works.
